Arnio is a revenue intelligence platform designed for Shopify merchants. Our service identifies missed revenue opportunities, analyzes customer behavior, and provides actionable insights to help e-commerce businesses recover lost sales and improve conversion performance.

By accessing or using Arnio, you agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not use our platform.

2. Eligibility

To use Arnio, you must:

• Be at least 18 years of age
• Have the legal authority to enter into these Terms on behalf of yourself or your business
• Operate a legitimate Shopify store or e-commerce business
• Comply with all applicable laws and regulations in your jurisdiction

We reserve the right to refuse service to anyone for any reason at any time.

3. Account & Access

When you create an account with Arnio, you are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

• Provide accurate, current, and complete information during registration
• Update your information to keep it accurate and complete
• Notify us immediately of any unauthorized use of your account
• Not share your account credentials with any third party
• Not use another user's account without permission

Arnio is not liable for any loss or damage arising from unauthorized access to your account due to your failure to keep your credentials secure.

4. Third-Party Integrations

Arnio integrates with third-party platforms including Shopify, Klaviyo, and other e-commerce tools. By connecting these integrations, you authorize Arnio to access and process data from those platforms in accordance with their respective terms of service and privacy policies.

We are not responsible for the availability, accuracy, or security of third-party platforms. Changes to third-party APIs or services may affect Arnio's functionality, and we cannot guarantee uninterrupted access to integrated services.

5. Data Usage

By using Arnio, you grant us permission to collect, store, and analyze data from your connected platforms to provide our services. This includes:

• Store analytics and sales data
• Customer behavior and session data
• Marketing campaign performance metrics
• Email and flow engagement data

6. AI-Generated Outputs

Arnio uses artificial intelligence and machine learning to generate insights, recommendations, and analyses. You acknowledge and agree that:

• AI-generated outputs are provided for informational purposes and should not be the sole basis for business decisions
• Arnio does not guarantee the accuracy, completeness, or suitability of AI-generated insights
• You are solely responsible for how you act upon any AI-generated recommendations
• AI outputs may occasionally contain errors or reflect biases present in training data

7. Payments & Subscription

Arnio offers subscription-based pricing plans. By subscribing, you agree to:

• Pay the applicable subscription fees as described in your chosen plan
• Authorize recurring charges to your payment method at the start of each billing period
• Provide valid and current payment information

All fees are non-refundable except as expressly stated in our refund policy. We reserve the right to change pricing with 30 days' notice. Continued use of the service after a price change constitutes acceptance of the new pricing.

8. Cancellation & Termination

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, and you will retain access to the service until then.

Arnio reserves the right to suspend or terminate your account at any time for violations of these Terms, fraudulent activity, or any reason we deem necessary. Upon termination, your right to access the service will cease immediately, and we may delete your data in accordance with our data retention policy.

9. Intellectual Property

All content, features, and functionality of the Arnio platform — including but not limited to software, designs, text, graphics, logos, and algorithms — are the exclusive property of Arnio and are protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the platform for your own business purposes. You may not copy, modify, distribute, sell, or reverse-engineer any part of our platform without prior written consent.

10. Limitation of Liability

To the fullest extent permitted by law, Arnio and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of revenue or profits
• Loss of data or business opportunities
• Service interruptions or downtime
• Decisions made based on AI-generated insights

Our total liability to you for any claims arising from your use of Arnio shall not exceed the amount you paid us in the three months preceding the claim.

11. Disclaimer

Arnio is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the service will be uninterrupted, error-free, or free of viruses or other harmful components.

We make no guarantees regarding specific revenue outcomes, conversion improvements, or business results from using our platform. Results may vary based on your business, industry, and implementation of our recommendations.

12. Changes to Terms

We reserve the right to update or modify these Terms & Conditions at any time. We will notify you of material changes via email or a prominent notice within the platform at least 14 days before the changes take effect.

Your continued use of Arnio after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must discontinue use of the service.

13. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of Arnio shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.
